Cathal Malone and Ben O'Gorman netted the Clare goals as Donal Moloney and Gerry O'Connor's team eked out a win at Fraher Field.
Waterford made a good start with Peter Hogan grabbing two goals for the home team, who edged 2-5 to 0-7 on front.
Clare, though, responded impressively with Malone and O'Gorman scoring to steer the Banner in front by 2-11 to 2-7 at the interval.
In the second half it remained interesting, but Billy O'Keefe's last gasp goal was only a consolation for Waterford.
Peter Casey, Tom Morrissey, and Barry Nash scored first half goals for Limerick, who dominated the opening period.
John Kiely's side accumulated a 3-15 to 0-7 half-time lead, but Kerry improved after the restart.
Nash added a fourth goal for Limerick in the second period as the Treatymen emerged convincing winners.
